Terms of Service
Scope of Services
We provide software design, development, testing, cloud, data, security, and managed services engagements as defined in mutually executed Statements of Work (“SOWs”).
Client Obligations
Client will provide timely access to information, systems, and stakeholders. Client is responsible for data accuracy, licenses, and compliance within its environment.
Intellectual Property
Unless specified in an SOW, deliverables developed for Client are assigned to Client upon full payment. Pre‑existing IP, accelerators, and tools remain the property of the originating party.
Confidentiality & Security
Both parties will protect Confidential Information using reasonable safeguards and comply with applicable security and privacy laws and industry standards.
Warranties & Disclaimers
We warrant Services will be performed in a professional manner consistent with industry standards. Except as stated, Services are provided “as is” without other warranties.
Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential damages. Our aggregate liability will not exceed fees paid for the applicable SOW.
Governing Law
These Terms are governed by the laws of the jurisdiction of our principal place of business, without regard to conflict of law principles.
